1. Agreement and eligibility

These Terms of Service form an agreement between you and the operator of MBI-OS, a Wisconsin sole proprietorship. In these Terms, “MBI-OS,” “we,” “us,” and “our” refer to the operator of the Service. “You” and “your” refer to the individual or organization accessing or using the Service.

By creating an account, purchasing a subscription, or otherwise using MBI-OS, you agree to these Terms and the MBI-OS Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and legally capable of entering into a binding agreement. If you use MBI-OS for an organization, you represent that you have authority to accept these Terms on that organization’s behalf.

2. The Service

MBI-OS is a business intelligence and outreach-support platform. Depending on the plan and available features, the Service may provide:

• Lead and organization enrichment
• Prospect and company research
• Personalized outreach drafting
• Outreach sequences and follow-up planning
• Today View task organization
• Sanctions and Politically Exposed Person screening
• Risk indicators and informational summaries
• Printable reports and browser-based Save as PDF functionality
• Reminders and related workflow tools

Features may differ by plan, account, location, data availability, and stage of development. We may add, modify, limit, suspend, or discontinue features as permitted by these Terms.

3. Human Control and LinkedIn Account Boundaries

MBI-OS is designed to reduce automation-related account risk by keeping LinkedIn activity under the user’s direct control.

MBI-OS does not request your LinkedIn password, log into your LinkedIn account, send connection requests, send messages, publish content, click buttons, or perform account activity on your behalf.

Certain features may copy user-reviewed content to the device clipboard and open a user-selected LinkedIn profile URL. These actions do not paste content into LinkedIn, inspect the opened page, interact with LinkedIn page elements, or send anything. You remain responsible for reviewing the profile, editing the message, deciding whether to make contact, and manually completing any action.

MBI-OS does not use account-warming routines, randomized delays, sender rotation, scripted browser behavior, or similar techniques intended to imitate human activity.

You are responsible for complying with LinkedIn’s User Agreement, Professional Community Policies, and other applicable platform rules. MBI-OS is not affiliated with, sponsored by, approved by, or endorsed by LinkedIn Corporation or its affiliates. LinkedIn is a trademark of its respective owner.

4. User accounts

You must provide accurate and current account information. You are responsible for protecting your credentials, maintaining control of your account, keeping contact and billing information current, and promptly notifying us of suspected unauthorized access.

You may not share credentials in a manner that avoids plan limits, account restrictions, or applicable charges. We may require verification when reasonably necessary to protect the Service, investigate misuse, satisfy legal obligations, or confirm account ownership.

5. User-provided information

You may provide names, companies, contact information, profile URLs, notes, campaign details, message instructions, and other information to the Service.

You represent that you have a lawful basis and all necessary rights, permissions, and authority to provide and use that information. You must not submit information obtained through unlawful scraping, unauthorized account access, credential theft, circumvention of platform restrictions, or another unlawful method.

You remain responsible for the legality, accuracy, and appropriateness of information you submit.

Enrichment and third-party data

MBI-OS may use public sources, licensed sources, search providers, sanctions and PEP datasets, data vendors, user-provided information, and other third-party services.

Third-party information may be delayed, incomplete, inaccurate, outdated, misattributed, unavailable, or associated with a different person or organization. The presence or absence of information does not establish identity, wrongdoing, trustworthiness, legal status, or suitability for a particular decision.

You must independently verify material information before relying on it. We do not control third-party data providers and do not guarantee uninterrupted access, complete coverage, or continued availability of any source.

Artificial intelligence and generated content

MBI-OS may use artificial intelligence and automated processing to generate outreach drafts, summaries, research observations, risk notes, suggested next steps, and other content.

Generated content may contain errors, unsupported statements, mistaken identity, omissions, outdated information, or inappropriate recommendations. You must review, edit, and approve generated content before using, sharing, printing, saving, or sending it.

Generated content is provided for informational and drafting purposes. It is not legal, financial, employment, credit, insurance, investigative, or compliance advice. You are responsible for messages and decisions made using generated content.

6. Sanctions and PEP screening

Intel Check provides informational sanctions and Politically Exposed Person screening based on available information and identifying details supplied by the user.

Screening may rely on name matching and other limited identifying information. Similar names, incomplete identifiers, transliteration, data delays, and source limitations may produce false positives or false negatives.

A “clear,” “low risk,” or similar result means only that the available screening process did not identify a confirmed match under the criteria used at that time. It does not guarantee that a person is not sanctioned, politically exposed, involved in misconduct, or subject to another legal restriction.

A “review,” “possible match,” “flagged,” or similar result does not establish that the subject is the person appearing in a source or that the subject engaged in wrongdoing.

Users must verify identity, review original source records, apply appropriate due diligence, and obtain professional advice when required. MBI-OS does not make final compliance determinations.

Reports and exports

The Service may allow users to view, reopen, print, or save reports as PDF through browser functionality. Reports reflect information available when the underlying check was performed and may become outdated.

Printing or saving a report does not convert it into a certified record, official determination, legal opinion, or verified background report. You are responsible for securely storing, sharing, retaining, and disposing of exported reports and personal information.

7. Prohibited eligibility and background-screening uses

MBI-OS is not an employment background-check service or consumer reporting agency.

You may not use MBI-OS, Intel Check, generated reports, risk notes, enrichment results, or other Service output, in whole or in part:

• To determine eligibility for employment, hiring, promotion, reassignment, retention, or termination
• To determine eligibility for housing
• To determine eligibility for credit, lending, or financing
• To determine eligibility for insurance
• To determine eligibility for a license, government benefit, or another legally protected purpose
• As a consumer report or investigative consumer report
• To take an adverse action governed by the Fair Credit Reporting Act or similar law

You may not represent an MBI-OS report as a legally compliant employment or consumer background report. If you require information for a regulated eligibility decision, you must use a properly authorized provider and follow all applicable notice, consent, accuracy, dispute, and adverse-action requirements.

Acceptable use

You may use MBI-OS only for lawful business research, outreach preparation, sanctions and PEP screening, and related purposes permitted by these Terms.

You may not use the Service to:

• Send spam or unlawful marketing
• Harass, threaten, intimidate, discriminate against, or deceive another person
• Contact someone after they clearly request no further contact
• Create false identities or impersonate another person or organization
• Scrape LinkedIn or another platform without authorization
• Automate activity inside a LinkedIn or other third-party account
• Circumvent platform limits, security controls, usage restrictions, or technical protections
• Upload malware or interfere with the Service
• Probe the Service for vulnerabilities without written permission
• Reverse engineer or attempt to extract nonpublic source code
• Resell account access or Service data without written permission
• Collect, process, or disclose personal information unlawfully
• Make unsupported allegations about a person
• Violate export-control, sanctions, privacy, intellectual-property, anti-spam, employment, or other applicable laws

You remain responsible for the volume, content, timing, recipients, and manner of your outreach.

8. Plans and free access

MBI-OS may offer a free tier and paid plans identified as Boot, Kernel, Root, and Root Enterprise.

The free tier does not require a credit card and does not automatically convert into a paid subscription. It may include a one-time allocation of specified features or usage and remains subject to the limits displayed on the Pricing page or inside the Service.

Boot, Kernel, and Root are self-service subscription plans with the features and monthly allowances displayed during signup, checkout, on the Pricing page, or inside the Service.

Root Enterprise is available through Contact Sales. Enterprise pricing, limits, services, support, and other conditions may be stated in an order form or separate written agreement. If an enterprise order form conflicts with these Terms, the order form controls for that customer and subject matter.

Automatic renewal

Boot, Kernel, and Root subscriptions automatically renew monthly until canceled. By purchasing a subscription, you authorize us and our payment processor to charge the recurring subscription price, taxes, and disclosed usage charges to your selected payment method.

You must maintain a valid payment method. Failed or reversed payments may result in reduced access, suspension, or cancellation.

Metered Root usage

Root includes stated monthly usage allowances. Usage above an included allowance is automatically billed at the applicable metered rate disclosed through the Service, checkout process, Pricing page, Billing page, or applicable order.

By using Root beyond an included allowance after the metered terms have been disclosed, you authorize the resulting usage charges. If you believe a usage charge is incorrect, contact us promptly at info@mbi-os.com.

Taxes

Displayed prices may exclude applicable sales, use, value-added, or similar taxes. You are responsible for taxes associated with your purchase, except taxes based on our net income. Where required, taxes may be calculated and collected during checkout or billing.

9. Cancellation and refunds

You may cancel a paid subscription through the Billing page inside your MBI-OS account.

Cancellation stops future renewal. Access continues through the end of the current paid billing period unless the account is terminated for misconduct, security reasons, legal requirements, or a material violation of these Terms.

Payments are non-refundable except where required by law. Canceling a subscription does not eliminate charges already incurred, including properly disclosed metered usage charges.

10. Privacy and security

Our collection, use, storage, and disclosure of personal information are described in the MBI-OS Privacy Policy.

No system is completely secure. We do not guarantee that unauthorized access, loss, misuse, or disclosure will never occur. You are responsible for using appropriate security practices, protecting exported information, and limiting access to reports and account data.

11. Intellectual property

MBI-OS and its software, interface, designs, branding, documentation, workflows, and original content are owned by or licensed to the operator of MBI-OS and are protected by applicable intellectual-property laws.

Subject to these Terms and payment of applicable fees, you receive a limited, revocable, nonexclusive, nontransferable license to use the Service for your internal lawful business purposes.

You retain ownership of original information and content you submit. You grant MBI-OS the limited rights necessary to host, process, transmit, transform, and display submitted information solely to operate, secure, support, and improve the Service as described in the Privacy Policy.

If you provide feedback, suggestions, or ideas, we may use them without restriction or compensation, provided we do not publicly identify you without permission.

12. Third-party services

The Service may depend on hosting providers, payment processors, communications providers, data sources, search services, artificial-intelligence providers, sanctions datasets, and other third parties.

Third-party services may be modified, interrupted, restricted, or discontinued without our control. Your use of a third-party platform remains governed by that platform’s terms and policies. Links to third-party websites do not constitute endorsement or control of those websites.

13. Service availability and changes

We may perform maintenance, deploy updates, correct errors, protect security, respond to legal requirements, or modify Service functionality. We do not guarantee uninterrupted, error-free, or permanently available operation.

We may establish or modify reasonable technical, storage, usage, rate, or security limits. We will make reasonable efforts to communicate material changes when appropriate, but emergency security or legal changes may occur without advance notice.

14. Suspension and termination

We may restrict, suspend, or terminate access when reasonably necessary to address nonpayment, enforce plan limits, protect the Service, investigate fraud or abuse, respond to legal process, prevent prohibited use, address a material violation, or discontinue the Service.

When reasonably possible, we may provide notice and an opportunity to correct the issue. You may stop using the Service at any time.

Sections that by their nature should survive termination will remain effective, including payment obligations, intellectual-property provisions, disclaimers, liability limitations, indemnification, dispute provisions, and restrictions concerning saved reports.

15. Disclaimer of warranties

To the fullest extent permitted by law, MBI-OS is provided “as is” and “as available.”

We disclaim all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and uninterrupted operation.

We do not warrant that information or generated content is complete, current, or accurate; that screening will identify every relevant record; that a result belongs to the intended person; that outreach will receive a response; that use of the Service will prevent platform restrictions; or that the Service will satisfy your legal or compliance obligations.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent permitted by law.

Limitation of liability

To the fullest extent permitted by law, MBI-OS and its operator, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, lost opportunities, business interruption, data loss, reputational harm, or decisions made using Service output.

To the fullest extent permitted by law, total liability arising from or relating to the Service or these Terms will not exceed the greater of the amount you paid to MBI-OS during the 12 months preceding the event giving rise to the claim or one hundred United States dollars if you paid nothing during that period.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless MBI-OS and its operator, contractors, and service providers from claims, damages, losses, liabilities, penalties, judgments, and reasonable legal expenses arising from your unlawful or prohibited use, outreach, messages, reports, decisions, submitted information, violation of these Terms, violation of another person’s rights, failure to obtain required permission, or use of Service output for a prohibited eligibility decision.

16. Governing law and venue

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or the Service must be brought in a state or federal court serving Dane County, Wisconsin, unless applicable law requires otherwise. You consent to the personal jurisdiction and venue of those courts.

17. Changes to these Terms

We may update these Terms to reflect changes in the Service, law, security requirements, business operations, or third-party relationships. Revised Terms will display an updated effective date.

When legally required or reasonably appropriate, we may provide additional notice through the Service, by email, or through another available contact method. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law. If you do not agree, you must stop using the Service and cancel any active subscription.

18. Electronic communications

You consent to receive transactional electronic communications relating to your account, billing, security, service changes, and legal notices. Marketing communications are subject to applicable law and available opt-out rights.

You are responsible for keeping your contact information current.

19. Miscellaneous

These Terms, the Privacy Policy, and any applicable order form constitute the agreement between you and MBI-OS concerning the Service.

If a provision is found unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver.

You may not assign these Terms without written consent. We may assign them in connection with a business reorganization, financing, sale, merger, transfer of the Service, or formation of a successor legal entity.

Headings are provided for convenience and do not limit interpretation.
